In the event that the rights of the Licencee are terminated under this clause, The Licencee agrees to destroy all copies of Materials. No refund will be made for any unexpired agreed term.
In the event that Gambling Compliance Limited is for any reason unable or unwilling to continue access to the Website and Materials for a Licencee or User without any fault on the part of the Licencee or User, Gambling Compliance Limited agree, on request, to refund the pro-rata portion of any user or license fee paid in advance by the Licencee or User for any unused term of the license, provided that this shall be the sole and exclusive remedy for the Licencee and/or User in such event.
These terms and conditions may be changed or amended by Gambling Compliance by giving at least 30 days notice in writing or by electronic communication to the Licencee. If the Licencee can reasonably demonstrate that such changes or amendments would be materially detrimental to it, licencee shall be entitled to terminate the agreement by giving notice before such changes become effective. Gambling Compliance will in this event, on request, refund the pro rata portion of any user license fee paid in advance by the Licencee for any unused term of the license, provided that this shall be the sole and exclusive remedy for the licence holder and user in such event.
These terms and conditions, the order form signed by the parties, and the privacy statement and disclaimer incorporated herein shall constitute the entire agreement between Gambling Compliance Limited and the Licencee and Users. Licencee and Users acknowledge that they have not accepted these terms and conditions in reliance on any warranty or representation made by Gambling Compliance Limited or any third party.
If any of the provision of these terms and conditions shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, such term or provision shall be divisible from the other terms and conditions and shall be deemed to be deleted from them.
These terms and conditions shall be interpreted in accordance with English Law, and Gambling Compliance Limited and the Licencee agrees to submit to the jurisdiction of the English courts.
Failure by any party to exercise any right or remedy provided for under these terms and conditions does not constitute a waiver of that right or remedy.
